Assignment Title:  Transaction Advisor for the Process of Partial Privatization of Ethio Telecom

The Federal Democratic Republic of Ethiopia, Ministry of Finance (MoF), has applied for financing from the World Bank toward the cost of the Ethiopia Digital Foundation Project (“Digital Ethiopia”) and intends to apply part of the proceeds for consulting services. The MoF  wants to engage qualified and experienced  Transaction advisory consultant to undertake due diligence to identify and define issue that may potentially impact the process, and get professional recommendation on feasible mode of privatization on the process of partial privatization of Ethio Telecom by introducing private sector participation in the ownership of Ethio Telecom to enhance efficiency of the industry for the estimated duration of 14th months, with expected start date of November 1, 2019.

The consulting services (“the Services”) include the following but not limited to:

  • Undertake the preparation of the partial privatization of Ethio Telecom, which will include recommendation of a feasible mode of privatization, and suggestions on the basic terms and conditions of the partial privatization process, financial and accounting preparation for the pre-privatization phase,
  • Identify the critical factors for the success of the process, discussing with the Government on factors, which will hinge on the priorities set out by the Government and goals envisaged by the partial privatization process and recommend a percentage of capital to be put on sale,
  • Reviews the initial benchmarking exercises performed by the Government for determination of the minimum value (reserve price) for Ethio Telecom valuation and refine the results using similar and other applicable techniques and examine economic situation and market of the sector,
  • Undertake legal due diligence including taxes, contracts, liabilities and any other factors potentially affecting its market value,
  • Prepare promotion material during privatization promotion phase as required and recommend on an effective way of reaching interested bidders,
  • Identify bidder selection criteria, support in bid preparation, response to a clarification of bidder, establish data room with information relevant to a prospective investor in the telecom market, and support during public consultation, etc., and
  • Assist in partner selection and negotiation until endorsement, in addressing issues that may be raised at different stages of the selection process.

The Ministry of Finance now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The shortlisting criteria are:

  • Thorough knowledge of the telecommunications sector, from commercial, legal, technical, economical, and public-policy perspective;
  • Significant previous experience in managing transactions, conducting telecommunications valuation studies, telecommunication market analyses, auction designs, licensing and privatizations;
  • At least two experiences in the past five years in developing, assessing and advising on privatization activities, either as an advisor or as an agent, and broad experience in the telecommunications sector, including legal, regulatory, operational, industry and technical experience;
  • The core business of the firm shall be relevant to the assignment and the firm should demonstrate  at least it has been in business for the last five year;
  • Demonstrated experience by showing strong organizational , managerial  and technical capabilities in carrying out similar assignment and
  • In the event of a Consortium of Firms, prior experience working together would be an additional asset.

The attention of interested Consultants is drawn to World Bank’s “Procurement Regulations for IPF Borrowers” July 2016  (“Procurement Regulations”), revised on Novemeber 2017 and August 2018 setting forth the World Bank’s policy on conflict of interest

 

Consultants may associate with other firms to enhance their qualifications but should indicate clearly whether the association is in the form of a joint venture and/or a sub-consultancy. In the case of a joint venture, all the partners in the joint venture shall be jointly and severally liable for the entire contract, if selected. A Consultant will be selected in accordance with the Quality and Cost-based Selection method set out in the Procurement Regulations.
